ZHONG JI LS (00767) Delays Circular for 25% Stake Acquisition of Asian Integrated Cell Laboratory to On or Before 30 March 2026

ZHONG JI LS (Stock Code: 00767) announced a further postponement in sending out its shareholder circular related to the proposed acquisition of a 25% equity interest in Asian Integrated Cell Laboratory Limited, a major and connected transaction that also involves the issuance of convertible notes under a specific mandate.

The company had originally planned to dispatch the circular by 6 March 2026, following earlier deferral notices on 22 December 2025, 16 January 2026 and 9 February 2026. Due to additional time needed to prepare and finalise the information required—namely details on the target company, financial data, the Independent Board Committee’s recommendation, and the independent financial adviser’s opinion—the Board now expects the circular to be issued on or before 30 March 2026.

Chairman and Chief Executive Officer Mr. Yan Li signed the announcement dated 9 March 2026 on behalf of the Board, which currently comprises two executive directors (Mr. Yan Li and Mr. Li Xiaoshuang), two non-executive directors (Dr. He Yiwu and Mr. Lyu Changshang) and four independent non-executive directors (Mr. Huang Jiang, Prof. Huang Cibo, Ms. Wang Huijuan and Ms. Tam Mei Chu).

The company reiterates that all other terms of the acquisition and the associated issuance of convertible notes remain unchanged. The rescheduled circular dispatch date aligns with Hong Kong Listing Rules requirements.
