Kaisa Health Cuts Issued Shares by 4.94 Billion after 50-for-1 Share Consolidation; Public Float Remains Compliant

Kaisa Health Group Holdings Limited reported a sharp contraction in its share base for the month ended 30 June 2026, driven by a capital reorganisation that consolidated every 50 existing shares into one consolidated share effective 24 June 2026.

The consolidation reduced authorised share count from 160.00 billion to 3.20 billion, while the par value per share rose from HKD 0.00125 to HKD 0.0625. Total authorised share capital stayed unchanged at HKD 200.00 million, indicating a purely nominal adjustment with no fresh capital inflow.

Issued shares (excluding treasury shares) dropped by 4.94 billion to 103.63 million, down from 5.04 billion at the end of May. The decrease reflects: • Capital reorganisation: −4.94 billion shares removed. • Consideration shares: +2.79 million new shares issued at HKD 8.75 each under a purchase agreement dated 18 March 2026.

No treasury shares were held or cancelled, and the company confirmed compliance with the Main Board’s minimum 25% public-float requirement as at 30 June 2026.

Outstanding employee incentives comprise 62.00 million options under the 2015 Share Option Scheme; no options were exercised, cancelled or lapsed during the month. A new option scheme adopted on 29 June 2026 had no grants outstanding at month-end.

Kaisa Health’s monthly return, filed on 7 July 2026, also states that all issued securities and related procedures complied with Hong Kong Listing Rules and relevant regulations.
