Guangzhou Rural Commercial Bank Co., Ltd. (GRCB) announced that its board of directors passed a resolution on 27 March 2026 to nominate Professor Lin Jianhao as an independent non-executive director (INED) for the fourth board session. The nomination has been reviewed and endorsed by the Board’s Nomination and Remuneration Committee and will be submitted to shareholders at the 2025 annual general meeting.
Professor Lin, born in 1984, holds a doctorate in finance from Sun Yat-Sen University and currently serves as dean of Lingnan College at the same university. He is also director of the Greater Bay Area Laboratory for Digital Economy and Data Science and holds multiple academic and advisory positions in national and provincial economic bodies. The announcement confirms that Lin satisfies all independence criteria under Rule 3.13 of the Hong Kong Listing Rules, has no shareholding in GRCB, and maintains no relationships with the bank’s directors, senior management, or substantial shareholders.
Upon shareholder approval, the bank will seek regulatory clearance of Lin’s qualifications from the Guangdong Bureau of National Financial Regulatory Administration. His tenure will run until the end of the current (fourth) board term. Compensation will follow GRCB’s 2014 remuneration framework for directors, comprising a fixed annual basic remuneration and attendance-based allowances, with details to be disclosed in the bank’s annual report.
If confirmed, GRCB’s board structure will remain at three executive directors, seven non-executive directors, and five independent non-executive directors, maintaining compliance with corporate governance requirements.
