KAISA HEALTH (Kaisa Health Group Holdings Limited) has announced a delay in sending out its shareholder circular for the company’s very substantial acquisition and connected transaction, which includes the planned issue of consideration shares under a specific mandate and a proposed share consolidation with a related change in board-lot size.
Originally slated for distribution by 5 May 2026, the circular—which will contain detailed information on the acquisition, the audited financials of the target group, pro-forma data for the enlarged group, an independent valuation report, and the notice of the special general meeting—is now expected to be dispatched on or before 30 June 2026. The extension is required to finalise financial and valuation materials for inclusion.
Because of the postponement, the previously announced timetable for both the share consolidation (10 existing shares for one consolidated share) and the accompanying change in board-lot size will also be deferred. A revised schedule will be released once finalised.
Management cautions shareholders and potential investors to exercise care when dealing in the company’s securities pending further updates.
