ARTA TECHFIN Announces Placement of Up to 123 Million Shares at an 18.3% Discount

ARTA TECHFIN (00279) has announced a proposed placement of up to 123 million shares. The placement shares represent approximately 9.67% of the company's total issued share capital as of the announcement date, and about 8.81% of the enlarged issued share capital following the placement.

The placement price has been set at HK$0.490 per share. This represents a discount of approximately 18.3% to the closing price of HK$0.600 per share on April 20, 2026.

Assuming the full 123 million shares are successfully placed, the gross proceeds from the placement are expected to be approximately HK$60.3 million. The net proceeds, after deducting related expenses, are estimated to be around HK$59.8 million.

The company intends to allocate the net proceeds as follows: approximately 50.2% (or about HK$30 million) will be used to repay shareholder loans and associated costs; around 26.8% (or about HK$16 million) is earmarked for strategic investments and the group's ongoing business development, which may include strengthening the regulatory capital base, obtaining additional licenses in Hong Kong and other key jurisdictions, and expanding into various high-growth industries; about 13.4% (or roughly HK$8 million) is allocated to enhancing the group's existing operations, such as investments in IT infrastructure, system upgrades, service capability improvements, and establishing technology and ecosystem partnerships; the remaining 9.6% (or approximately HK$5.8 million) will be used for general working capital and corporate purposes.
